{"id":17152,"date":"2021-11-30T08:27:45","date_gmt":"2021-11-30T13:27:45","guid":{"rendered":"https:\/\/www.choicereit.ca\/news-release\/choice-properties-real-estate-investment-trust-realise-un-placement-inaugural-dobligations-vertes-de-350-millions-de-dollars-en-debentures-non-garanties-de-premier-rang-de-serie-q\/"},"modified":"2021-11-30T08:27:45","modified_gmt":"2021-11-30T13:27:45","slug":"choice-properties-real-estate-investment-trust-realise-un-placement-inaugural-dobligations-vertes-de-350-millions-de-dollars-en-debentures-non-garanties-de-premier-rang-de-serie-q","status":"publish","type":"news-release","link":"https:\/\/www.choicereit.ca\/fr\/news-release\/choice-properties-real-estate-investment-trust-realise-un-placement-inaugural-dobligations-vertes-de-350-millions-de-dollars-en-debentures-non-garanties-de-premier-rang-de-serie-q\/","title":{"rendered":"Choice Properties Real Estate Investment Trust r\u00e9alise un placement inaugural d&#8217;obligations vertes de 350 millions de dollars en d\u00e9bentures non garanties de premier rang de s\u00e9rie Q"},"content":{"rendered":"<p><br>\n<\/p>\n<p class=\"wp-block-cpr-paragraph-core\">Not for distribution to U.S. News Wire Services or dissemination in the United States.<\/p>\n<p>Toronto, Ontario, November 30, 2021 \u2013 Choice Properties Real Estate Investment Trust (\u201cChoice Properties\u201d or the \u201cTrust\u201d) (TSX: CHP.UN) announced today that it has completed its previously announced issuance, on a private placement basis in certain Provinces of Canada (the \u201cOffering\u201d), of $350 million aggregate principal amount of series Q senior unsecured debentures of the Trust bearing interest at a rate of 2.456% per annum and maturing on November 30, 2026 (the \u201cDebentures\u201d).<\/p>\n<p>The Debentures were issued as green bonds pursuant to the Trust\u2019s Green Financing Framework (the \u201cFramework\u201d), which Sustainalytics, a global leader in providing ESG research and analysis, reviewed and confirmed as being aligned with the International Capital Markets Association\u2019s Green Bond Principles 2021 and the Loan Market Association Green Loan Principles 2021. The Framework and Sustainalytics\u2019 independent second party opinion report are available on the Trust\u2019s website: <a href=\"http:\/\/choicereit.ca\/sustainability\">choicereit.ca\/sustainability<\/a>.<\/p>\n<p>The Trust intends to allocate the net proceeds of the Offering to fund the financing and\/or refinancing of eligible green projects (\u201cEligible Green Projects\u201d) as described in the Framework. Prior to the allocation of the net proceeds of the Offering to Eligible Green Projects, the Trust intends to use the net proceeds of the Offering to repay existing indebtedness, including (i) the previously announced early redemption of the Trust\u2019s $300 million principal amount of 3.01% series I senior unsecured debentures on December 10, 2021, and (ii) to repay all or a portion of the balance drawn on the Trust\u2019s credit facility.<\/p>\n<p>DBRS Morningstar has provided the Debentures with a credit rating of \u201cBBB\u201d (high)with a \u201cstable\u201dtrend and S&amp;P Global Ratings has provided the Debentures with a credit rating of \u201cBBB\u201d.The Debentures rank equally with all other unsecured indebtedness of the Trust that has not been subordinated.<\/p>\n<p>The Debentures were sold on an agency basis by a syndicate of agents co-led by CIBC Capital Markets, RBC Capital Markets, TD Securities, BMO Capital Markets and Scotiabank. The Debentures offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
