The Offering includes (i) <span class=\"xn-money\">$550 million<\/span> aggregate principal amount of series K senior unsecured debentures that will bear interest at a rate of 3.556% per annum and will mature on <span class=\"xn-chron\">September 9, 2024<\/span>, and (ii) <span class=\"xn-money\">$750 million<\/span> aggregate principal amount of series L senior unsecured debentures that will bear interest at a rate of 4.178% per annum and will mature on <span class=\"xn-chron\">March 8, 2028<\/span> (collectively, the \u00ab\u00a0Debentures\u00a0\u00bb).<\/p>\n<p>The Debentures are being offered on an agency basis by a syndicate of agents co-led by TD Securities, RBC Capital Markets, CIBC Capital Markets and BMO Capital Markets. Subject to customary closing conditions, the Offering is expected to close on <span class=\"xn-chron\">March 8, 2018<\/span>.<\/p>\n<p>The net proceeds of the Offering will be used by the Trust to partially fund the purchase price in respect of the Trust\u2019s previously-announced acquisition of all of the assets of Canadian Real Estate Investment Trust (the \u00ab\u00a0Acquisition\u00a0\u00bb).  <\/p>\n<p>The net proceeds of the Offering will be placed in escrow and will be released from escrow upon satisfaction of the applicable release conditions, including the completion of the Acquisition. The Debentures will also be subject to a special mandatory redemption in the event that the agreement relating to the Acquisition is terminated or the applicable escrow release conditions are not satisfied by <span class=\"xn-chron\">October 13, 2018<\/span>. The redemption price for any special mandatory redemption will be 100% of the aggregate principal amount of the Debentures, together with accrued and unpaid interest on the Debentures from and including the date of settlement up to but excluding the date of the special mandatory redemption.<\/p>\n<p>It is a condition of closing of the Offering that the Debentures be rated at least \u00ab\u00a0BBB\u00a0\u00bb with a \u00ab\u00a0Stable\u00a0\u00bb trend by DBRS Limited and at least \u00ab\u00a0BBB\u00a0\u00bb by Standard and Poor\u2019s Ratings Services.
