The offering includes (i) <span class=\"xn-money\">$300 million<\/span> aggregate principal amount of series I senior unsecured debentures that will bear interest at a rate of 3.01 % per annum and will mature on <span class=\"xn-chron\">March 21, 2022<\/span> and (ii) <span class=\"xn-money\">$350 million<\/span> aggregate principal amount of series J senior unsecured debentures that will bear interest at a rate of 3.546 % per annum and will mature on <span class=\"xn-chron\">January 10, 2025<\/span> (collectively, the \u00ab\u00a0Debentures\u00a0\u00bb).<\/p>\n<p>The Debentures are being offered on an agency basis by a syndicate of agents co-led by RBC Capital Markets, TD Securities, CIBC Capital Markets and BMO Capital Markets. Subject to customary closing conditions, the offering is expected to close on January 12, 2018.<\/p>\n<p>The net proceeds of the Debentures being offered will be used by the Trust to repay existing indebtedness, including an intention to redeem in full the <span class=\"xn-money\">$400 million<\/span> aggregate principal amount of its 3.554% series A senior unsecured debentures due <span class=\"xn-chron\">July 5, 2018<\/span>, and for general business purposes.<\/p>\n<p>The offering is being made under Choice Properties\u2019 short form base shelf prospectus dated <span class=\"xn-chron\">January 9, 2018<\/span>. The terms of the offering will be described in a prospectus supplement, dated <span class=\"xn-chron\">January 10, 2018<\/span>, to be filed with Canadian securities regulators in each of the provinces of <span class=\"xn-location\">Canada<\/span>.<\/p>\n<p>It is a condition of closing of the offering that the Debentures be rated at least \u00ab\u00a0BBB\u00a0\u00bb with a \u00ab\u00a0Positive\u00a0\u00bb trend by DBRS Limited and at least \u00ab\u00a0BBB\u00a0\u00bb by Standard and Poor\u2019s Ratings Services.
