The Debentures bear interest at a rate of 4.055% per annum and will mature on <span class=\"xn-chron\">November 24, 2025<\/span>. <\/p>\n<p>The offering was made under Choice Properties\u2019 short form base shelf prospectus dated <span class=\"xn-chron\">October 14, 2015<\/span>. The terms of the offering are described in a prospectus supplement dated <span class=\"xn-chron\">November 18, 2015<\/span>, which was filed with securities regulators in each of the provinces of <span class=\"xn-location\">Canada<\/span>.<\/p>\n<p>The net proceeds of the Debentures will be used by the Trust to repay existing indebtedness and for general business purposes.<\/p>\n<p>DBRS Limited and Standard and Poor\u2019s Ratings Services have each provided the Debentures with a credit rating of \u00ab\u00a0BBB\u00a0\u00bb. The Debentures rank equally with all other unsecured indebtedness of Choice Properties that has not been subordinated.<\/p>\n<p>The Debentures were sold on an agency basis by a syndicate of agents co-led by CIBC Capital Markets, RBC Capital Markets, BMO Capital Markets and TD Securities. The Debentures offered have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in <span class=\"xn-location\">the United States<\/span> absent registration or an applicable exemption from the registration requirements.
