The Debentures will bear interest at a rate of 2.297% per annum and will mature on <span class=\"xn-chron\">September 14, 2020<\/span>. The Debentures were sold at a price of <span class=\"xn-money\">$100.001<\/span> per <span class=\"xn-money\">$100<\/span> principal amount, with an effective yield of 2.297% per annum. <\/p>\n<p>The Debentures are being offered on an agency basis by a syndicate of agents co-led by RBC Capital Markets, CIBC, TD Securities and BMO Capital Markets.  Subject to customary closing conditions, the offering is expected to close on <span class=\"xn-chron\">February 5, 2015<\/span>. <\/p>\n<p>The net proceeds of the Debentures being offered will be used by the Trust to repay existing indebtedness and for general business purposes. <\/p>\n<p>The offering is being made under Choice Properties\u2019 short form base shelf prospectus dated <span class=\"xn-chron\">September 3, 2013<\/span>. The terms of the offering will be described in a prospectus supplement, dated <span class=\"xn-chron\">February 2, 2015<\/span>, to be filed with Canadian securities regulators in each of the provinces of <span class=\"xn-location\">Canada<\/span>. <\/p>\n<p>It is a condition of closing of the offering that the Debentures be rated at least \u00ab\u00a0BBB\u00a0\u00bb with a \u00ab\u00a0stable\u00a0\u00bb trend by DBRS Limited and at least \u00ab\u00a0BBB\u00a0\u00bb by Standard and Poor\u2019s Ratings Service.
